Here at Seal & Kennedy, we have extensive experience in reviewing, negotiating, and drafting numerous documents and agreements related to organizing, operating, purchasing/selling, and dissolving business entities, as well as numerous other legal documents.

Limited Liability Company ("LLC") Entity Organization​ 
Certificate of Organization:  A certificate of organization is the document filed with the State to bring your LLC into existence, so your company is registered with the State.  This document usually contains the name of the LLC, the principle office address, the registered agent's name and address, as well as other information required by Utah law.    
Operating Agreements:  An operating agreement is a document entered into by the members of the LLC, which sets forth how the business will be operated, including management, inclusion of new members in the future, terms for potential buyouts, and many other issues that are important for members involved in an LLC to agree upon, to provide the best chance for a successful business relationship.    
Statement of Authority: A statement of authority is an optional document, which may be filed with the State, that identifies particular members or managers of the LLC, and details what authority that individual does or does not have to act on behalf of the LLC.    
Corporation Entity Organization
​Articles of Incorporation:  Articles of incorporation is the document filed with the State to bring your corporation into existence, so your corporation is registered with the State.  This document usually contains the name of the corporation, the purpose for which the corporation was formed, the number of shares the corporation is authorized to issue, the name and address of the corporation's initial registered office and agent, as well as other information required by Utah law.   
Bylaws:  Corporate bylaws is the document entered into by the shareholder's of a corporation, setting forth the powers and authority of the managers and shareholders, the authority of the directors, the time and place for shareholder and directors meetings, payment of dividends, as well as many other issues that are important for shareholders of a corporation to agree upon, in order to provide the best chance for a smooth operation of a company.  
Shareholder Agreements: Shareholders of a corporation may enter into a supplemental document called a shareholders agreement.  These agreements usually contain matters relating to aspects of the shareholders' relationship to each other, which may not be covered in the Bylaws.  These agreements can include buy/sell provisions, provide for what happens if a shareholder cannot participate in the business due to death, bankruptcy, or disability, as well as covering many other issues that can arise among shareholders of a corporation.  
Partnerships 
Partnership Agreements:  A partnership agreement is an agreement entered into between two or more business partners, which sets forth the responsibilities of each parter, as well as setting forth percentages of ownership, and how profit and loss of the partnership will be split.  This agreement can also detail the authority and duties of each partner involved in the business, as well as many other issues which are relevant to the operation of a partnership.
